1. Agreement to These Terms

These Terms of Service and Terms of Use ("Terms") govern access to and use of ginnycircle.com, related Ginny Circle websites, online storefronts, digital products, customer materials, and services made available by Lavender Lane Virtual Services, LLC ("Lavender Lane," "Ginny Circle," "we," "us," or "our").

By accessing the website, creating an account, purchasing a Ginny Circle product, downloading or receiving Ginny Circle materials, or otherwise using our products or services, you agree to these Terms and any additional terms presented at checkout or with a specific product.

If you do not agree to these Terms, do not use the website or purchase, install, access, or use Ginny Circle products.

2. About Ginny Circle

Ginny Circle provides digital productivity, workflow, operational-organization, AI-assisted workspace, prompt, installer, configuration, documentation, template, and related business-support products.

Ginny Circle products may be designed for particular industries, roles, or workflows, including community association management, property management, student housing, affordable housing, service providers, and related business operations.

Ginny Circle does not itself replace the customer's property-management system, accounting system, legal counsel, licensed professional, regulatory compliance platform, payroll system, field-service platform, or other formal system of record unless a specific product description expressly states otherwise.

3. Eligibility and Business Use

You must be legally capable of entering into a binding agreement to purchase or use Ginny Circle products.

If you use Ginny Circle on behalf of a company, association, employer, or other organization, you represent that you are authorized to accept these Terms on its behalf and to use any data, documents, connected accounts, or systems you provide to or access through your AI environment.

You are responsible for complying with your employer's, client's, association's, or organization's privacy, security, data-handling, records-retention, and authorization requirements.

4. Accounts and Access

Certain products may require or function through third-party AI platforms, cloud-storage providers, email providers, productivity platforms, or other connected services.

You are responsible for:
• maintaining the security of your own accounts and credentials;
• controlling who has access to your AI workspace and connected sources;
• using supported integrations only when properly authorized;
• reviewing the permissions granted to third-party services; and
• promptly removing access when it is no longer appropriate.

Ginny Circle does not control the security, availability, pricing, feature set, retention practices, or policies of third-party platforms.

5. Purchases and Payment

Prices, included features, product scope, discounts, taxes, payment terms, and any applicable promotional conditions are displayed on the website or at checkout.

Unless otherwise stated, Ginny Circle digital products are sold or licensed as one-time purchases for the scope identified at the time of purchase.

A purchase does not transfer ownership of Ginny Circle's intellectual property. It grants the purchaser the applicable license described in these Terms, the Ginny Circle Product License Terms, and any product-specific terms.

You are responsible for providing accurate billing information and for all charges authorized through your account.

6. Digital Products and Delivery

Ginny Circle products may be delivered through downloadable files, installation prompts, expansion installers, configuration instructions, guides, templates, links, customer-delivery packages, or other digital formats.

You are responsible for maintaining access to your purchased materials after delivery where the product description instructs you to retain them.

Because Ginny Circle products may depend on third-party AI platforms or services that can change over time, we do not guarantee that a particular installation method, connector, interface, or third-party feature will remain available indefinitely.

7. Ginny Circle Product License

All Ginny Circle digital products are licensed, not sold, except to the extent a written agreement expressly provides otherwise.

Your use of Ginny Circle products is also governed by the Ginny Circle Product License Terms, which are incorporated into these Terms by reference.

The Product License Terms apply to, among other things:
• installation prompts and master installers;
• expansion installers and upgrade materials;
• workflows and workflow configurations;
• prompt-based products;
• documentation and guides;
• templates and operational frameworks;
• customer-delivery packages;
• updates and replacement versions; and
• other proprietary Ginny Circle materials supplied to a purchaser.

If there is a conflict between these Terms and the Product License Terms regarding use of Ginny Circle proprietary materials, the Product License Terms control for that issue.

8. Ownership and Intellectual Property

Ginny Circle, Lavender Lane Virtual Services, LLC, and their licensors retain all rights, title, and interest in and to Ginny Circle intellectual property, including to the extent protected by applicable law:
• trademarks, trade names, logos, and branding;
• website content and original written materials;
• product documentation;
• original human-authored software and code;
• proprietary prompt and installer materials;
• workflows and compilations;
• product architecture and internal development materials;
• graphics and original creative content;
• templates;
• proprietary databases and compilations;
• confidential business information; and
• other protectable intellectual property.

No purchase grants ownership of the Ginny Circle name, brand, underlying product architecture, internal development materials, or other intellectual property.

"GINNY CIRCLE" and associated branding may be protected by trademark and other applicable laws.

9. Permitted Use

Subject to these Terms and the Product License Terms, a purchaser may use a properly purchased Ginny Circle product for the purchaser's authorized business or personal operations within the scope of the applicable license.

You may make reasonable working copies or backups only as necessary for authorized use, unless the applicable product or license states otherwise.

Use by multiple managers, seats, workspaces, companies, or unrelated organizations may require additional licenses where identified by the applicable product terms or pricing.

10. Prohibited Use

Except where applicable law gives you a non-waivable right, you may not:
• resell, redistribute, publish, sublicense, rent, lease, or commercially share Ginny Circle proprietary materials;
• post full Ginny Circle installers, prompts, proprietary workflows, or customer-delivery files publicly;
• provide purchased materials to an unrelated third party that has not obtained an applicable license;
• use Ginny Circle proprietary materials to create, train, package, sell, or provide a substantially competing commercial product or service;
• remove or obscure proprietary notices included with Ginny Circle materials;
• falsely represent Ginny Circle materials as your own original product;
• use Ginny Circle intellectual property in a manner that creates confusion about affiliation, sponsorship, or ownership;
• attempt to obtain unauthorized access to Ginny Circle systems or accounts; or
• use the website or products for unlawful, fraudulent, abusive, or harmful activity.

Nothing in these Terms is intended to prohibit conduct that cannot lawfully be restricted under applicable law.

11. Customer Data and Customer Responsibility

You retain responsibility for the information, files, records, instructions, and data you choose to use with Ginny Circle products or third-party AI systems.

You are responsible for determining whether you have authority to upload, connect, process, or use particular information.

Do not provide credentials, confidential records, personal information, regulated information, or customer data to a system unless you are authorized to do so and the system is appropriate for that information.

Ginny Circle products may help organize, summarize, draft, identify, or route information, but the customer remains responsible for reviewing material decisions, submissions, communications, payments, approvals, deadlines, and records.

12. AI-Generated and AI-Assisted Outputs

Ginny Circle products may operate within or alongside artificial-intelligence systems.

AI systems can produce inaccurate, incomplete, outdated, or unexpected outputs. You are responsible for reviewing outputs before relying on them for material business, financial, legal, compliance, employment, safety, contractual, or customer-facing decisions.

Ginny Circle does not warrant that AI-generated outputs will be error-free, complete, or suitable for every purpose.

13. Connected Services and Integrations

Some Ginny Circle products may support workflows involving connected email, cloud storage, documents, calendars, or other third-party services when those services are available and authorized in the customer's environment.

Availability of a connected service does not mean Ginny Circle independently hosts, controls, continuously monitors, or guarantees that service.

A connector or integration may be changed, limited, interrupted, removed, or made unavailable by the third-party provider.

You remain responsible for reviewing permissions and ensuring that connected data is handled in accordance with applicable policies and law.

14. No Professional Advice

Ginny Circle is a business productivity and workflow tool.

Unless expressly stated in a separate written agreement, Ginny Circle does not provide legal, tax, accounting, engineering, architectural, insurance, regulatory, medical, investment, or other licensed professional advice.

Outputs that touch on professional or regulated subject matter should be independently reviewed by the appropriate qualified professional when required.

15. Compliance and Source Verification

Ginny Circle may help users identify missing information, deadlines, follow-up items, or potential compliance-related tasks.

Ginny Circle does not guarantee compliance with any statute, regulation, governing document, contract, program rule, lender requirement, insurance requirement, licensing requirement, or professional standard.

Customers are responsible for verifying current requirements and using authoritative sources.

16. Refunds, Cancellations, and Chargebacks

Any refund or cancellation policy displayed on the website, at checkout, or with the applicable product governs that purchase.

Because many Ginny Circle products are digital and may be delivered immediately, refund eligibility may be limited after delivery or access, to the extent permitted by applicable law and as disclosed at purchase.

If you believe a charge is incorrect, contact Ginny Circle through the support or contact method published on ginnycircle.com before initiating a payment dispute when reasonably possible.

17. Product Changes, Updates, and Expansions

Ginny Circle may update, replace, improve, discontinue, rename, reorganize, or modify products and documentation.

A purchase does not automatically include every future product, expansion, industry package, add-on, upgrade, service, or feature unless the applicable offer expressly says it does.

Expansion installers, add-ons, upgrade materials, and replacement versions remain subject to these Terms and the Product License Terms.

Ginny Circle may provide compatibility updates or corrections at its discretion, but does not guarantee perpetual compatibility with every third-party platform.

18. Feedback

If you voluntarily provide suggestions, ideas, feedback, feature requests, or recommendations regarding Ginny Circle, you permit Lavender Lane to use that feedback for product development and business purposes without an obligation to compensate you, provided that this does not transfer ownership of your confidential information or customer data.

19. Confidentiality and Proprietary Materials

Some Ginny Circle materials may be identified as confidential, proprietary, restricted, internal, or licensed materials.

Receiving access to proprietary customer materials does not authorize public disclosure or redistribution.

Customers must use reasonable care to prevent unauthorized sharing of licensed Ginny Circle installers, expansion materials, proprietary prompts, and other non-public product materials.

This section does not convert information that is lawfully public or independently developed into Ginny Circle confidential information.

20. Third-Party Websites and Services

The website may link to or depend on third-party websites, payment providers, AI platforms, cloud services, or other external services.

Ginny Circle is not responsible for third-party content, availability, security, policies, data practices, products, or services.

Your use of a third-party service is also governed by that provider's own terms and policies.

21. Website Content and Availability

We may change, suspend, correct, remove, or discontinue website content at any time.

We do not guarantee uninterrupted website availability, and temporary outages or maintenance do not create a right to compensation except where required by law or expressly provided by us.

22. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE WEBSITE, PRODUCTS, DIGITAL MATERIALS, AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE."

LAVENDER LANE AND GINNY CIRCLE DISCLAIM WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, AVAILABILITY, AND ERROR-FREE OPERATION TO THE EXTENT SUCH WARRANTIES MAY LAWFULLY BE DISCLAIMED.

Nothing in these Terms excludes a warranty or consumer right that applicable law does not permit us to exclude.

23. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LAVENDER LANE VIRTUAL SERVICES, LLC AND ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AND AFFILIATES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST DATA, BUSINESS INTERRUPTION, LOST OPPORTUNITY, OR COSTS OF SUBSTITUTE SERVICES ARISING FROM OR RELATED TO THE WEBSITE OR PRODUCTS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR AGGREGATE LIABILITY FOR A CLAIM ARISING FROM A PARTICULAR PURCHASE WILL NOT EXCEED THE AMOUNT YOU PAID TO GINNY CIRCLE FOR THE PRODUCT OR SERVICE GIVING RISE TO THAT CLAIM DURING THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

These limitations do not apply where applicable law prohibits them.

24. Indemnification

To the extent permitted by law, if you use Ginny Circle on behalf of a business or organization, you agree to indemnify and hold harmless Lavender Lane Virtual Services, LLC and its representatives from third-party claims arising from your unlawful use of the website or products, your violation of these Terms, your unauthorized use of another person's data or systems, or content you provide or direct Ginny Circle to use.

This provision does not require indemnification for claims caused by Lavender Lane's own conduct to the extent such an obligation would be prohibited by law.

25. Suspension and Termination

We may suspend or terminate access to Ginny Circle-hosted services, accounts, or materials if reasonably necessary to address fraud, abuse, security risk, nonpayment, material violation of these Terms, infringement, or unlawful activity.

Termination does not transfer ownership of Ginny Circle intellectual property.

The effect of termination on previously delivered products is governed by the Product License Terms and any applicable product-specific agreement.

26. Copyright and Infringement Concerns

If you believe content on ginnycircle.com infringes your copyright or other intellectual-property rights, contact us through the contact method published on ginnycircle.com and provide sufficient information for us to identify and evaluate the issue.

27. Privacy

Our collection and handling of personal information is governed by the Ginny Circle Privacy Policy as published on ginnycircle.com.

These Terms do not replace the Privacy Policy.

28. Changes to These Terms

We may update these Terms from time to time.

The current version will be posted on ginnycircle.com with an updated effective date or revision indicator.

Material changes will apply prospectively except where a change is required to address law, security, fraud, misuse, or another urgent operational issue.

Continued use after updated Terms become effective constitutes acceptance to the extent permitted by law.

29. Governing Law

Unless a different rule is required by applicable law, these Terms are governed by the laws of the State of Utah, without regard to conflict-of-laws principles.

Nothing in this section eliminates any non-waivable rights or venue protections provided by applicable consumer law.

30. Informal Dispute Resolution

Before filing a lawsuit over a dispute relating to these Terms or a Ginny Circle purchase, the parties are encouraged to make a good-faith effort to resolve the issue informally by providing written notice of the dispute and allowing a reasonable opportunity to respond.

This section does not prevent either party from seeking urgent injunctive relief or taking action necessary to preserve legal rights.

31. Severability and Waiver

If a provision of these Terms is found unenforceable, the remaining provisions remain in effect to the fullest extent permitted by law.

A failure to enforce a provision on one occasion is not a waiver of the right to enforce it later.

32. Assignment

You may not transfer your rights under these Terms or a Ginny Circle product license to another person or entity without our written permission, except where applicable law provides otherwise.

Lavender Lane may assign these Terms in connection with a merger, acquisition, reorganization, sale of substantially all assets, or similar business transaction.

33. Entire Agreement

These Terms, the Product License Terms, the Privacy Policy, any applicable checkout terms, and any signed written agreement between you and Lavender Lane form the agreement governing your use of Ginny Circle.

A signed written agreement may modify these Terms for the customer covered by that agreement.
